These terms are the agreement between you and Memori AI, Inc. ("Memori") for using the Memori service. By creating an account you accept them. Memori is for adults (18+); creating an account confirms you are at least 18, and misrepresenting your age is grounds for account closure and deletion. While Memori is in private beta, the invitation you accepted is part of this agreement; these terms supersede it at public launch.
You need a verified email address to create an account. You can close your account at any time, which triggers deletion of your content through our deletion pipeline (see /privacy for exactly what that means and what is retained). Memori can suspend or close accounts for violations of these terms, fraud, or abuse, with notice and the reason, except where the law or an active investigation prevents it.
The model can belong to the platform; the memory belongs to you. You own your Mems. You grant Memori only the limited operational license needed to store, process, and deliver them on your behalf, nothing broader. We do not train models on your Mems, and no future training happens without your separate, explicit consent. You can see, edit, forget, and export every Mem, always.
Connect and disconnect sources; direct which Mems are shared with which AI tools (and see every share on the record); export your data; cancel Pro at any time. The free tier is never paywalled.
Resell, redistribute, or scrape Memori or its output. Upload material you are not allowed to record, store, or use; Memori is for content that is yours to keep. Use Memori to evade or violate an AI provider's own terms of service. Use Memori for purposes we have refused: granting your context to data brokers, ad networks, or screening platforms.
Memori Pro is USD $24/month. Cancel any time; your subscription runs to the end of the paid period, and refunds for the unused portion are pro-rated within the current billing period. Prices can change with at least 30 days' notice, never mid-cycle.
Memori is provided on a best-effort basis while we are a small team; we do not promise a specific uptime. We will change and improve features over time. If a change would remove a trust capability (your ability to see, edit, forget, or export Mems, or the share log), you get the same advance notice as a privacy-policy change. Those capabilities are the product's promise, and we treat them that way.
Memori provides the memory layer; the answers an AI tool gives you are that tool's, not ours, and we make no warranty about them. To the extent the law allows, Memori's liability is capped at the greater of what you paid us in the last 12 months or USD $100. Nothing in this section limits the trust commitments above; they are the deal, not fine print.
These terms are governed by the laws of the State of Delaware. Disputes go to the state or federal courts located in Delaware, and you may always use your local small-claims court for qualifying claims. (No mandatory arbitration.)
We will give at least 14 days' notice of material changes, keep a change log, and material changes never retroactively re-govern what you did before them. Continued use after the notice period is acceptance.
Memori is a hosted service. The content you connect or import (notes, meeting transcripts, uploaded files, and data from the sources you connect) is collected and stored on Memori's servers and processed there to build your memory profile: your Mems. Your data does not stay on your device.
When you use Memori with an AI tool, the Mems relevant to your request are shared with that tool. Shares happen at your direction or as your settings allow, and each share is logged.
Retention, as currently implemented: your content (Mems, captures, and imports) is kept until you delete it or delete your account, which erases it through our deletion pipeline. Mem version history is kept for 90 days (major versions for 2 years). Superseded Mems are archived after 90 days; invalidated Mems are deleted after 30 days. Consent-gated usage telemetry is kept for 90 days. Sign-in and authentication events are kept for 13 months. Error-queue payloads that can transiently contain content are kept for 14 days, and validation snapshots for 30 days after resolution. Certain operational and audit records are retained indefinitely as compliance records.
